本條款適用於 MVS 網站的公開閱讀、公司與研究產品介紹及相關帳號功能。目前不提供線上購買、付費訂閱或自動續訂。

These terms cover public reading, company and research-product information, and related account features on the MVS website. Online purchases, paid subscriptions and automatic renewals are currently unavailable.

一、帳號與安全

會員應使用本人可控制的社群帳號登入並維護聯絡資料正確性。不得分享付費權限、繞過付費牆、干擾服務或冒用他人身分。

1. Accounts and security

Members must use social accounts they control and keep contact details accurate. Paid access may not be shared, bypassed or used to interfere with the service or impersonate others.

強制多因素驗證與責任限制

使用帳號期間不得停用或略過 MFA；使用者仍可刪除自己的帳號。刪除後停止帳號存取並撤回所有行銷同意，必要歷史紀錄依隱私政策保留且不得用於行銷。使用者應妥善保護帳號及驗證資訊。詳見資訊安全、強制多因素驗證與責任限制聲明。依法不得排除或限制之責任與消費者權利不受影響。

Mandatory MFA and liability limitations

MFA cannot be disabled or bypassed while using an account. Users may still delete their own accounts. Deletion ends account access and withdraws all marketing consent; necessary history is retained under the privacy policy and must not be used for marketing. Users must protect their accounts and verification information. See the Cybersecurity, Mandatory MFA and Limitation of Liability Notice. Non-excludable liability and consumer rights remain unaffected.

2. Content licence

Public content is available for browsing and reading; it does not transfer copyright or grant reuse rights. Except as permitted by law or written permission, bulk copying, redistribution, resale and training external models are prohibited. Separately obtained research products and advisory deliverables follow their individual licences or contracts.

Content is industry research and general information, not legal, tax, medical or personalised investment advice. Obtain appropriate professional advice and make independent decisions.

四、洽詢、合作與服務變更

提出洽詢不會產生扣款，也不代表已成立付費委託。顧問合作的服務範圍、交付、費用、稅費與付款方式，以雙方確認的個別合約為準。未來如開放網站交易，將先公告適用的交易、付款及退款條件。

4. Inquiries, engagements and service changes

Sending an inquiry does not trigger a charge or establish a paid engagement. Advisory scope, deliverables, fees, taxes and payment arrangements follow the individual contract confirmed by both parties. If website transactions become available, the applicable transaction, payment and refund terms will be published beforehand.

五、適用法律

本條款以中華民國法律為基礎，但不排除消費者所在地依法不得排除的強制性權利。英文版供國際使用；中英文如有重大歧義，應依適用法律與交易情境作合理解釋。

5. Governing rules

These terms are based on the laws of Taiwan and do not exclude mandatory consumer rights in a purchaser’s location. The English version supports international use; material discrepancies are interpreted reasonably under applicable law and the transaction context.

六、首次使用、電子簽署與版本更新

需要身分驗證的功能，須先完成 MFA，審閱並逐項同意當次提供的服務條款、隱私告知、投資風險聲明、資訊安全政策與電子簽署規則，輸入本人姓名並按下「簽署並同意」。未同意、版本過期或保存失敗時不開放會員功能。既有會員遇重大條款更新亦須重新同意；新版本不溯及變更已成立個別合約或剝奪既有法定權利。

6. First use, electronic assent and updates

Authenticated features require MFA, review and separate affirmative acceptance of the supplied terms, privacy notice, investment disclosure, security policy and electronic-assent rules, followed by the account holder’s name and an explicit submission. Access remains blocked if acceptance is missing, outdated or cannot be saved. Material updates require renewed assent from existing members; they do not retroactively alter individual contracts or remove statutory rights.

七、合理審閱、締約能力與副本

全部文件可在簽署前閱讀、下載及保存；可離開頁面後再完成，不要求放棄依法享有的合理審閱權。帳號功能限年滿十八歲且具有締約能力者使用；代表組織操作者應具有必要授權，但一般網站簽署不替代個別公司委任合約。若對條款有疑問或需紙本處理，可聯絡 maxwell@maxwellvs.com；在完成必要程序前，公開瀏覽仍可使用。

7. Review, capacity and copies

All documents can be read, downloaded and retained before signing. Users may leave and return; no waiver of a legally required reasonable review opportunity is requested. Account features are for adults aged 18 or over with contractual capacity. Organizational representatives need appropriate authority, and website assent does not replace a separate corporate engagement. Questions or requests for paper handling may be sent to maxwell@maxwellvs.com; public browsing remains available while required arrangements are incomplete.

八、資訊品質、AI、模型與外部內容

研究、模型、情境分析與可能使用 AI 輔助的內容可能包含錯誤、遺漏、延遲或不適合個別目的的假設。預測、模擬與回測不是實際績效或結果承諾；應核對來源、日期、假設及限制。外部連結、影片、行情、公司名稱或標誌不代表 MVS 對第三方背書、合作或保證。發現實質錯誤可向本公司提出更正。依法應負的查證、更正及其他義務不因本段而免除。

8. Information quality, AI, models and external content

Research, models, scenarios and AI-assisted material may contain errors, omissions, delays or assumptions unsuitable for a particular purpose. Forecasts, simulations and backtests are not actual performance or promised results; examine sources, dates, assumptions and limitations. External links, videos, quotes, company names and marks do not imply endorsement, partnership or a guarantee. Material errors may be reported for correction. Applicable verification, correction and other duties are not waived.

九、合理使用、保密與他人權利

不得冒名、侵害智慧財產或隱私、散布違法內容、未經授權存取系統、規避 MFA、分享帳號、濫用自動化抓取或干擾服務；法律允許的合理使用及強制權利不受限制。提供資料者應有必要權利與授權，不應透過公開留言或一般洽詢傳送密碼、驗證碼、未公開重大投資訊息或他人敏感個資。需保密的顧問資料應先確認保密及委任安排。

9. Acceptable use, confidentiality and third-party rights

Do not impersonate others, infringe intellectual property or privacy, distribute unlawful content, access systems without authority, bypass MFA, share accounts, abuse automated extraction or disrupt services. Lawful exceptions and mandatory rights remain. Contributors need necessary rights and authority, and must not use public comments or ordinary inquiries to send passwords, verification codes, material non-public investment information or another person’s sensitive data. Confidential advisory materials require appropriate confidentiality and engagement arrangements.

十、服務限制、爭議與不可排除責任

本公司得基於具體資安風險、違法或違約情事採取必要且相稱的限制，並於合理可行時告知原因及復原或申訴方式。先行聯絡協商不限制申訴、訴訟、法定時效或依法有管轄權的法院。責任依適用法律、實際義務、可歸責性、因果關係及損害判斷；不以免責文字排除故意、重大過失、強制個資義務、法定消費者權利或其他依法不得限制責任，亦不將舉證責任一概轉嫁使用者。

10. Restrictions, disputes and non-excludable liability

Necessary and proportionate restrictions may address concrete security risks, unlawful acts or contractual breaches, with reasons and recovery or complaint channels where reasonably practicable. Informal discussion does not restrict complaints, litigation, statutory time limits or legally competent courts. Liability depends on applicable law, actual duties, attribution, causation and loss. These terms do not exclude intentional misconduct, gross negligence, mandatory data-protection duties, statutory consumer rights or other non-excludable liability, or shift every burden of proof to users.

帳號刪除、歷史保留與行銷排除

使用者可在帳號安全頁完成 MFA 後刪除自己的帳號，無須先接受新條款。確認後移除登入身分，終止帳號存取，清除非必要個人資料，並以「已刪除帳號」保留必要歷史主體。舊工作階段不得繼續存取；重新註冊不繼承舊權限或行銷同意。

刪除時撤回所有行銷同意。已刪除帳號及其歷史紀錄不得加入行銷活動、名單、行銷匯出或同步，不得用於行銷分析、廣告受眾或投放。任何行銷流程須在實際使用前重新檢查帳號狀態與目前同意，不得沿用快取名單或歷史同意。

必要稽核、文件簽署、交易、授權與刪除紀錄僅限授權人員用於原已告知的安全、合規、爭議或權利處理。既有稽核紀錄依原五年保存規則及有記錄的保全例外處理；其他類別依適用目的與期限管理，不代表永久保留全部個資。到期處理與備份管理由授權人員依受控程序辦理。刪除帳號不自動取消既有個別合約或完成退款，相關事項可聯絡 maxwell@maxwellvs.com。

Account deletion, retained history and marketing exclusion

After MFA, users may delete their own accounts from Account security without accepting new terms. Confirmation removes the sign-in identity, ends account access, clears nonessential profile fields and retains a historical subject labelled Deleted account. Old sessions cannot continue access; new registrations inherit neither old access nor marketing consent.

Deletion withdraws all marketing consent. Deleted accounts and retained history must not enter campaigns, lists, marketing exports or synchronisations, marketing analytics or advertising audiences. Every marketing workflow must recheck account status and current consent immediately before use; cached lists and historical consent are insufficient.

Necessary audit, agreement, transaction, entitlement and deletion records are restricted to authorised staff for previously disclosed security, compliance, dispute or rights handling. Existing audit records follow the stated five-year rule and documented holds; other categories follow their applicable purposes and retention periods, not indefinite retention of all personal data. Authorised staff manage expiry and backups through controlled procedures. Account deletion does not automatically cancel separate contracts or complete refunds; contact maxwell@maxwellvs.com.

一、我們蒐集的資料

透過 Email 洽詢時，我們會收到您提供的聯絡信箱、公司、需求說明及附件，用於回覆與確認合作需求。公開閱讀不要求登入；使用帳號功能時，才涉及以下會員資料。

會員資料包括姓名、聯絡 Email、公司與職稱（如提供）、偏好語言、國家／市場地區、時區、內容興趣及分語言電子行銷選擇。社群登入由 Supabase Auth 處理；MVS 不會取得您的社群密碼，也不蒐集身分證、護照或居留證號碼。

為保護會員與處理爭議，系統另保存註冊資料建立與異動前後值、異動欄位、事件時間、當事人與操作者識別碼、社群登入連結／解除及管理員查閱／匯出紀錄。Supabase Auth 平台日誌亦可能包含登入結果、IP 位址與 User-Agent。

1. Data we collect

Email inquiries provide us with the contact address, company details, needs and attachments you choose to send, so we can respond and clarify potential engagements. Public reading does not require sign-in; the member information below applies when account features are used.

Member data includes name, contact email, optional company and title, language, country or market region, time zone, content interests and language-specific marketing choices. Social sign-in is processed by Supabase Auth. MVS does not receive social passwords or collect government identity document numbers.

To protect members and resolve disputes, the system also records profile creation and before/after changes, changed fields, event time, subject and actor identifiers, social-account link/unlink events, and administrator access/export events. Supabase Auth platform logs may also contain sign-in results, IP addresses and User-Agent data.

二、使用目的與依據

資料用於提供會員服務、內容權限、交易聯繫、偏好設定、資安防護及您另行同意的電子行銷。電子行銷同意可分別針對中文與英文撤回，不影響基本會員功能。

稽核紀錄僅用於帳號安全、防止濫用、履行法令義務、內部調查、法律主張或抗辯、爭議處理，以及回應具有法定權限機關的正式要求；不作一般電子行銷分析。

2. Purposes and legal bases

Data is used for membership, content access, transaction communications, preferences, security and separately consented marketing. Chinese and English marketing consent can be withdrawn independently without affecting core membership.

Audit records are used only for account security, abuse prevention, legal compliance, internal investigations, legal claims or defence, dispute resolution, and valid requests from legally authorised authorities. They are not used for general marketing analytics.

三、服務供應商與跨境處理

本網站目前不透過線上結帳蒐集信用卡、帳單地址或付款資料。帳號與登入資料由 Supabase 雲端服務處理；洽詢信件由電子郵件服務處理。資料可能在服務供應商營運地區跨境處理。請勿在洽詢信件中提供完整卡號、密碼或身分證件。

3. Service providers and international processing

The website does not currently collect card, billing-address or payment information through online checkout. Account and authentication data is processed by Supabase; inquiries are processed through email services. Data may be processed across provider locations. Do not include full card numbers, passwords or identity documents in inquiries.

四、保存、存取與安全

一般會員資料保存至會員帳號刪除、法定保存期屆滿或蒐集目的消失為止。會員資料異動與帳號安全稽核紀錄自各事件發生日起保存五年；如有司法、主管機關、爭議或其他書面法律保全需求，相關紀錄得延長保存至案件終結及適用法定期間屆滿。保全原因與調取／匯出行為亦會留下紀錄。

稽核資料採管理員限權、資料庫禁止更新／刪除及逐事件 SHA-256 鏈結等防竄改措施。這些措施可協助驗證一致性，但不代表法院、公證人或鑑識機構已預先認證其證據能力。

4. Retention, access and security

General member data is retained until account deletion, expiry of legal duties or the end of its purpose. Profile-change and account-security audit records are retained for five years from each event. Where a documented judicial, regulatory, dispute-related or other legal hold applies, relevant records may be retained until the matter and applicable statutory period end. The hold reason and access/export activity are also logged.

Audit data is protected by administrator-only access, database-level update/delete blocking and a per-event SHA-256 chain. These controls support integrity verification but do not amount to advance certification of admissibility by a court, notary or forensic authority.

五、您的權利

您可登入會員帳號更正資料或撤回行銷同意，也可來信申請查閱、複製、更正、停止利用或刪除。為遵守法令、建立／行使／防禦法律權利或執行有效法律保全所必須的稽核資料，可能無法立即刪除；MVS 會說明限制理由。適用法律另有更高保障時，從其規定。

5. Your rights

You may update data and withdraw marketing consent in your account, or contact us to request access, a copy, correction, restriction or deletion. Audit data required for legal compliance, establishing, exercising or defending legal rights, or a valid legal hold may not be deleted immediately; MVS will explain the restriction. Any stronger mandatory rights under applicable law remain unaffected.

Security records and MFA

Necessary security records support authentication, anomaly analysis, audits and recovery within reasonable and lawful limits. Retention follows data type, legal requirements and security needs; permanent or exhaustive recording is not promised. See the Security and Mandatory MFA Notice. Specific existing retention rules remain subject to this policy and applicable law.

簽署紀錄與必要資料

Assent records and necessary data

To establish member assent, perform the contract, protect security and resolve disputes, we retain the account identifier, signatory name, document version and complete snapshot, document hash, selected language, individual confirmations, document-offer time, server signing time and MFA assurance level. These records contain no MFA secret, QR code, verification code or complete login token and are not used for advertising tracking. Without necessary assent data, account features cannot be activated; public browsing remains available. Marketing choices are separate and withdrawable. Assent and related audit records are ordinarily retained for five years from the event; necessary legal holds are documented separately, followed by deletion or de-identification assessment under applicable law. Members may download their own copy or email a data-rights request.

This website provides no fundraising, subscription, investment-fund transfer or client-trading function. Any separate arrangement requires the appropriate qualifications, applicable law and an individual written contract; disclaimers do not replace required authorization or duties.

2. Investment risks and loss of capital

Investments involve market, issuer, credit, interest-rate, currency, liquidity, concentration, policy, regulatory, tax and cross-border risks. Unlisted, angel and early-stage investments may be difficult to value, transfer or exit; funds may remain inaccessible for a long period and all invested capital may be lost. Sustainable, green or ESG labels do not imply low risk, capital protection, fixed returns, policy support or third-party certification.

3. Personal investments and company services

Maxwell has confirmed that this portfolio is funded entirely with his own capital. It does not involve co-investment, external fundraising or discretionary management for others, and does not accept visitor subscriptions. These investments are independent of the advisory services of Maxwell Venture Service LLC.

“Maxwell’s Sustainable Investment Fund” identifies Maxwell’s personal investment activities presented on this website, independently of MVS advisory services. The name alone does not establish regulatory approval, registration, fundraising or sale of a fund product, or constitute an invitation to subscribe. US$10,000–100,000 describes the stated angel-investment range per case; it is not a visitor payment, minimum subscription, commitment to invest or MVS guarantee. Website presentation does not itself make MVS a guarantor; non-excludable legal duties remain.

4. Historical cases, selection and performance

Exit cases are selected historical experiences supplied by Maxwell, not a complete portfolio or performance report. They do not establish that all investments were profitable, a success rate or future returns. An exit does not necessarily mean a positive return; returns cannot be calculated or compared without costs, holding periods, fees, taxes, losses and complete cash flows. No independently verified aggregate performance is presented, and historical results do not predict future results.

五、利益衝突

Maxwell Venture Service LLC（麥斯管顧，下稱「本公司」）重視網站、資訊系統、帳號及使用者資料之安全。

本公司資訊安全管理採取以下核心原則：

合理資安措施（Reasonable Security Measures）＋可稽核證據（Auditable Security Evidence）＋精確責任限制（Precise Limitation of Liability）

本公司依網站服務性質、資訊系統架構、所處理資料之性質及敏感程度、可合理預見之資訊安全風險，以及適用法律與法規要求，採取合理、適當且與風險相稱之技術性及組織性安全措施。

Maxwell Venture Service LLC (the “Company”) values the security of its websites, information systems, accounts and user data.

Our core principles are: Reasonable Security Measures + Auditable Security Evidence + Precise Limitation of Liability.

We adopt reasonable, appropriate and risk-proportionate technical and organizational measures, taking into account the nature of the services, system architecture, the nature and sensitivity of data, reasonably foreseeable risks, and applicable laws and regulations.

No internet-connected website, information system, cloud service, software, third-party platform or communications system can be guaranteed completely secure. Security measures seek to reasonably reduce the likelihood and impact of incidents; they do not guarantee freedom from attacks, intrusion, exploitation, data breaches or interruption.

一、所有網站帳號強制使用 MFA

凡建立、持有或使用本網站帳號，並存取需要身分驗證之功能、服務、資料或管理介面之使用者，均必須使用本公司要求之：

多因素驗證（Multi-Factor Authentication, MFA）。

本政策適用於所有帳號類型，包括但不限於：

- 客戶帳號；
- 會員帳號；
- 顧問帳號；
- 合作夥伴帳號；
- 員工帳號；
- 系統維運帳號；
- 系統管理員帳號；以及
- 其他具有非公開系統或資料存取權限之帳號。

使用帳號期間不得停用或略過 MFA；使用者仍可刪除自己的帳號。刪除後停止帳號存取並撤回所有行銷同意，必要歷史紀錄依隱私政策保留且不得用於行銷。

未完成 MFA 設定或未能通過 MFA 驗證者，不得存取需要登入或身分驗證之網站功能。

本公司得依資訊安全風險要求使用者重新驗證身分、重新設定 MFA、增加其他驗證方式，或暫時限制帳號存取。

使用者可在帳號安全頁完成 MFA 後刪除自己的帳號，無須先接受新條款。確認後移除登入身分，終止帳號存取，清除非必要個人資料，並以「已刪除帳號」保留必要歷史主體。舊工作階段不得繼續存取；重新註冊不繼承舊權限或行銷同意。

刪除時撤回所有行銷同意。已刪除帳號及其歷史紀錄不得加入行銷活動、名單、行銷匯出或同步，不得用於行銷分析、廣告受眾或投放。任何行銷流程須在實際使用前重新檢查帳號狀態與目前同意，不得沿用快取名單或歷史同意。

必要稽核、文件簽署、交易、授權與刪除紀錄僅限授權人員用於原已告知的安全、合規、爭議或權利處理。既有稽核紀錄依原五年保存規則及有記錄的保全例外處理；其他類別依適用目的與期限管理，不代表永久保留全部個資。到期處理與備份管理由授權人員依受控程序辦理。刪除帳號不自動取消既有個別合約或完成退款，相關事項可聯絡 maxwell@maxwellvs.com。

1. Mandatory MFA for every website account

Anyone who creates, holds or uses a website account to access authenticated features, services, data or administration interfaces must use the multi-factor authentication (MFA) required by the Company.

This applies to all account types, including:

- Customers;
- Members;
- Advisors;
- Partners;
- Employees;
- System operations personnel;
- System administrators; and
- Any other accounts with access to non-public systems or data.

MFA cannot be disabled or bypassed while using an account. Users may still delete their own accounts. Deletion ends account access and withdraws all marketing consent; necessary history is retained under the privacy policy and must not be used for marketing.

Users who have not enrolled in MFA or cannot pass verification may not access authenticated website features. Depending on security risks, we may require renewed identity verification, MFA re-enrollment, additional verification methods or temporary access restrictions.

After MFA, users may delete their own accounts from Account security without accepting new terms. Confirmation removes the sign-in identity, ends account access, clears nonessential profile fields and retains a historical subject labelled Deleted account. Old sessions cannot continue access; new registrations inherit neither old access nor marketing consent.

Deletion withdraws all marketing consent. Deleted accounts and retained history must not enter campaigns, lists, marketing exports or synchronisations, marketing analytics or advertising audiences. Every marketing workflow must recheck account status and current consent immediately before use; cached lists and historical consent are insufficient.

Necessary audit, agreement, transaction, entitlement and deletion records are restricted to authorised staff for previously disclosed security, compliance, dispute or rights handling. Existing audit records follow the stated five-year rule and documented holds; other categories follow their applicable purposes and retention periods, not indefinite retention of all personal data. Authorised staff manage expiry and backups through controlled procedures. Account deletion does not automatically cancel separate contracts or complete refunds; contact maxwell@maxwellvs.com.

二、MFA 不代表絕對安全保證

MFA 可以大幅降低單一密碼遭竊後造成未經授權登入之風險，但任何身分驗證技術均無法完全消除所有資訊安全風險。

即使已使用 MFA，仍可能發生包括但不限於：

- 網路釣魚（Phishing）；
- 社交工程（Social Engineering）；
- Session Hijacking；
- Cookie 或 Token 竊取；
- 惡意程式；
- 使用者裝置遭入侵；
- SIM Swap；
- MFA Fatigue Attack；
- 第三方身分驗證服務遭攻擊；
- 零時差漏洞（Zero-Day Vulnerability）；或
- 其他目前未知或不可合理預見之攻擊方式。

因此，MFA 應被理解為整體資訊安全架構之一部分，而非本公司對帳號或系統「絕對不會遭受入侵」之保證。

2. MFA is not an absolute security guarantee

MFA can substantially reduce unauthorized sign-in risk following theft of a password, but no authentication technology removes every security risk.

Risks may still include:

- Phishing;
- Social engineering;
- Session hijacking;
- Cookie or token theft;
- Malware;
- Compromised user devices;
- SIM swaps;
- MFA fatigue attacks;
- Attacks on third-party identity providers;
- Zero-day vulnerabilities; and
- Attacks that are currently unknown or not reasonably foreseeable.

MFA is part of the overall security architecture, not a guarantee that an account or system can never be compromised.

三、使用者亦負有帳號安全義務

使用者應合理保護其：

- 帳號；
- 密碼；
- MFA 驗證裝置；
- Passkey；
- Authenticator；
- Security Key；
- Recovery Code；
- 電子郵件帳號；
- 行動裝置；以及
- 其他身分驗證資訊。

使用者不得：

- 與他人共用帳號；
- 將密碼提供予第三人；
- 將 MFA 驗證碼提供予第三人；
- 將 Recovery Code 提供予第三人；
- 故意規避、破解或停用本公司要求之安全措施；或
- 允許未經授權之人員使用其帳號。

如使用者發現或合理懷疑帳號、密碼、驗證裝置或 MFA 資訊遭竊、遺失、洩漏或未經授權使用，應立即通知本公司並採取必要安全措施。

3. Users also have account-security responsibilities

Users must reasonably protect their:

- Accounts;
- Passwords;
- MFA devices;
- Passkeys;
- Authenticators;
- Security keys;
- Recovery codes;
- Email accounts;
- Mobile devices; and
- Other authentication information.

Users must not share accounts, passwords, MFA codes or recovery codes with others; deliberately circumvent, break or disable required safeguards; or allow unauthorized people to use their accounts.

If theft, loss, disclosure or unauthorized use is discovered or reasonably suspected, users must notify the Company immediately and take necessary protective measures.

四、因使用者未遵守安全要求所造成之損害

如資訊安全事件係因使用者：

- 分享帳號；
- 洩漏密碼；
- 洩漏 MFA 驗證資訊；
- 未妥善保管驗證裝置；
- 未依要求完成 MFA；
- 故意規避資訊安全措施；
- 使用已遭入侵之設備；
- 未合理處理本公司提供之安全警告；或
- 其他可歸責於使用者之行為

所造成，且該事件並非可歸責於本公司者，本公司在適用法律允許之最大範圍內，不對因此產生之損害負責。

4. Harm caused by a user’s failure to follow security requirements

If an incident results from a user’s account sharing, password or MFA disclosure, inadequate device protection, failure to complete required MFA, deliberate circumvention of safeguards, use of compromised equipment, unreasonable disregard of security warnings, or other conduct attributable to the user—and is not attributable to the Company—the Company is not liable for the resulting harm to the maximum extent permitted by applicable law.

五、本公司採取合理資安措施

本公司依實際風險及系統需求，得採取包括但不限於下列資訊安全措施：

- Multi-Factor Authentication；
- Role-Based Access Control；
- Least-Privilege Access；

實際採用之安全措施得依威脅環境、技術發展、法令要求及系統架構持續調整。

5. Reasonable security measures

Depending on actual risks and system needs, measures may include:

- Multi-factor authentication;
- Role-based access control;
- Least-privilege access;
- Account and permission management;
- Encryption in transit and of data where needed;
- System and software updates;
- Security patch management;
- Vulnerability management;
- Network and application safeguards;
- Backup and recovery;
- Security logging;
- Access logging;
- Detection of unusual sign-ins;
- Incident response;
- Third-party service and vendor security management; and
- Other risk-proportionate safeguards.

The measures actually used may evolve with threats, technology, legal requirements and system architecture.

六、建立及保存可稽核之資訊安全證據

本公司於合理且適法之範圍內建立、保存及管理必要之資訊安全紀錄，以支持：

- 資訊安全管理；

6. Creating and retaining auditable security evidence

Within reasonable and lawful limits, the Company creates, retains and manages necessary security records to support security management, risk assessment, compliance, anomaly analysis, incident investigation, recovery, audits, allocation of responsibility and continuous improvement.

Records may include:

Risk Assessment → Security Controls → Authentication Logs → MFA Logs → Access Logs → Patch Logs → Backup Logs → Vulnerability Records → Vendor Reviews → Incident Records → Corrective Actions

This does not constitute a commitment to permanent or completely exhaustive recording of all activity. Retention is managed according to the nature of the data, legal requirements, security needs and reasonable retention periods.

七、第三方駭客及不可合理控制之資安事件

即使本公司已採取合理及適當之安全措施，仍可能遭遇超出本公司合理控制範圍之資訊安全事件，包括：

- 未經授權之第三方駭客攻擊；
- Zero-Day Vulnerability；
- Malware；
- Ransomware；
- DDoS；
- Supply Chain Attack；
- DNS Attack；
- Credential Stuffing；
- 第三方雲端服務事故；
- 電信或網路基礎設施事故；
- 第三方軟體或開源元件漏洞；或
- 其他不可合理預見或不可合理避免之網路安全事件。

本公司不聲明、不承諾亦不保證本網站或相關資訊系統：

- 永遠不會遭受網路攻擊；
- 永遠不存在資訊安全漏洞；
- 永遠不會發生未經授權存取；

7. Third-party attacks and events beyond reasonable control

- Supply-chain attacks;
- DNS attacks;
- Credential stuffing;
- Third-party cloud incidents;
- Telecommunications or network infrastructure incidents;
- Vulnerabilities in third-party software or open-source components; and
- Other events not reasonably foreseeable or avoidable.

We do not represent, promise or guarantee that our websites or systems will never be attacked, contain vulnerabilities, experience unauthorized access, suffer data disclosure, alteration, damage or loss, be interrupted, or be able to exclude all present and future threats.

八、第三方服務

8. Third-party services

The website may use independent providers of cloud services, DNS, CDN, email, identity authentication, payments, electronic invoices, network infrastructure, software, APIs or other external information services.

We undertake reasonable service selection, management and security-risk assessment, but cannot directly control every third party’s systems, personnel, internal procedures or network environment.

Where an independent third party causes an incident and we have reasonably fulfilled applicable duties of selection, supervision, security management and other legal obligations, we bear liability only to the extent required by applicable law.

9. An incident does not by itself establish Company fault

A security incident, intrusion, data breach or interruption does not by itself establish that the Company failed to take reasonable safeguards or acted intentionally or negligently.

Liability must be assessed case by case, considering causes, foreseeability, reasonably available technology at the time, safeguards adopted, user conduct, third-party conduct, causation, the extent of loss and applicable law.

十、責任限制

在適用法律允許之最大範圍內，如本公司已採取與當時合理風險相稱之資訊安全措施，而相關事件並非因本公司故意、重大過失或其他依法不得限制責任之事由造成，本公司對於不可合理預見、不可合理防止或超出本公司合理控制範圍之第三方網路攻擊或其他資訊安全事件，僅於法律規定之範圍內負擔責任。

在法律允許之最大範圍內，本公司不對非因本公司依法應負責任之事由所造成之下列損失負責：

- 間接損害；
- 附帶損害；
- 特別損害；
- 衍生性損害；
- 所失利益；
- 商業機會損失；
- 營業中斷；
- 商譽損失；或
- 其他間接經濟損失。

10. Limitation of liability

To the maximum extent permitted by applicable law, where we have adopted safeguards proportionate to reasonably assessed risks at the time and an event is not caused by our intentional misconduct, gross negligence or another ground on which liability cannot lawfully be limited, our liability for third-party attacks or other incidents that are not reasonably foreseeable or preventable, or are beyond our reasonable control, is limited to what the law requires.

To the maximum extent permitted by law, we are not liable for the following losses where they do not arise from grounds for which we are legally responsible:

- Indirect damages;
- Incidental damages;
- Special damages;
- Consequential damages;
- Lost profits;
- Lost business opportunities;
- Business interruption;
- Loss of goodwill; or
- Other indirect economic losses.

12. User acknowledgment and agreement

By creating an account, signing in or continuing to use authenticated services, users acknowledge that security is an ongoing risk-management effort shared by operators, users and relevant service providers, and that no information system eliminates all cybersecurity risks.

Users agree to comply with mandatory MFA, account-security and other security requirements. Those who do not agree to mandatory MFA or other necessary safeguards cannot use authenticated services.

Member document assent requires explicit submission and a successfully saved record through the agreement page. Browsing or signing in alone does not complete first-use document signing.

十三、適用法律

本聲明之解釋及適用，以中華民國（台灣）法律及其他依法應適用之強制規定為準。

本聲明所定之免責、責任限制及風險分配，均僅於適用法律允許之最大範圍內有效。

因本聲明所生或與本聲明有關之爭議，雙方同意以臺灣臺北地方法院為第一審管轄法院。但法律另有專屬管轄或其他不得以合意排除之管轄規定者，從其規定。

13. Applicable law

This notice is interpreted and applied under the laws of the Republic of China (Taiwan) and any other mandatorily applicable provisions.

Its disclaimers, limitations of liability and risk allocations operate only to the maximum extent permitted by applicable law.

4. Timing and statutory rights

保存伺服器時間、帳號、姓名、MFA 層級、所同意的文件版本、完整內容與雜湊，提供本人簽署副本。雜湊可協助比對內容，不是公證或第三方時間戳認證。重複提交同一版本不覆寫原紀錄；版本更新保留歷史。若發現錯誤、遭冒用或不同意後續使用電子形式，請聯絡 maxwell@maxwellvs.com，由授權人員依法處理；不擅自改寫既有同意紀錄。

2. Retention and correction

Server time, account, name, MFA level, accepted version, complete content and hash are retained, with a personal copy. Hashes support content comparison, not notarization or certified third-party timestamps. Repeated submission of the same version does not overwrite the original, and updates preserve history. Report errors, impersonation or an objection to future electronic handling to maxwell@maxwellvs.com for lawful handling by authorized personnel without silently rewriting prior assent.

不同意者可選擇「暫不簽署並登出」，並繼續匿名瀏覽。需要非電子方式、更多審閱時間或權利說明者可聯絡本公司；未完成必要同意前不啟用會員功能。本選項不限制法定權利、不強迫接受行銷，也不表示放棄依法享有的審閱期間。

3. Declining and alternative handling

Users who decline may choose “Do not sign and sign out” and continue anonymous browsing. Contact us for non-electronic handling, more review time or rights information; account features remain unavailable until necessary arrangements are complete. This does not limit statutory rights, require marketing consent or waive a legally required review period.
